Prices are subject to change without prior notice. Once the Customer confirmed an order, the agreed price remains fixed.<\/p>\n\n\n\n<p><strong>4.2 Payment Terms<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>All payments must be made in full, before work begins, unless otherwise stated.<\/li>\n\n\n\n<li>Payment is accepted via bank transfer.<\/li>\n\n\n\n<li>Wilbrock LLC is not VAT-registered. Customers are responsible for any applicable taxes in their jurisdiction.<\/li>\n\n\n\n<li>Customer will be provided with Invoices for each payment made.<\/li>\n\n\n\n<li><strong>4. Tarification &amp; Paiement<\/strong><\/li>\n\n\n\n<li><strong>4.1 Tarification<\/strong><\/li>\n\n\n\n<li>Tous les tarifs disponibles sont indiqu\u00e9s sur notre site web ou dans des propositions personnalis\u00e9es. Les clients sont responsables de toutes les taxes applicables dans leur juridiction.<\/li>\n\n\n\n<li>Le Client recevra des factures pour chaque paiement effectu\u00e9.<\/li>\n<\/ul>\n\n\n\n<p>5.&nbsp;<strong>Project Duration &amp; Completion<\/strong><\/p>\n\n\n\n<p><strong>5.1 Duration<br><\/strong><br>Any indication given by WILBROCK LLC of a project\u2019s duration is stated on www.monaco-webdesign.com\u00a0and in the Service Contract. Any over \u2013 run is to be agreed amiable by the both parties. WILBROCK LLC cannot be held responsible for any project over-runs, coming from the Customer\u2019s side, including here the delays in sending the materials, coming from the Customer\u2019s side, necessary for work completion.<br><br>The estimated project duration shall be deemed to commence from the date on which Wilbrock LLC receives all necessary materials required for project completion from the Customer. This includes, but is not limited to, text, images, branding guidelines and any other essential assets required to execute the agreed-upon Service Contract.<\/p>\n\n\n\n<p>Additionally, the project timeline shall only become effective once Wilbrock LLC has received the full payment or the agreed-upon initial deposit, as stipulated in the Service Contract.<br><br>Any delays in providing the required materials or settling the necessary payments shall result in a corresponding extension of the estimated project duration, for which Wilbrock LLC shall not be held liable.<\/p>\n\n\n\n<p>Wilbrock LLC shall make all reasonable efforts to adhere to the agreed project timeline. However, the estimated duration is subject to adjustment in cases where additional revisions, modifications, or unforeseen circumstances arise.<\/p>\n\n\n\n<p><br><strong>5.2 Completion<br><\/strong><br>WILBROCK LLC considers any project complete upon receipt of the Customer\u2019s approval via email, upon the delivery of the contracted work by the provider and the formal acceptance thereof by the client and upon all due funds are cleared.<\/p>\n\n\n\n<p><strong>5. Dur\u00e9e &amp; Ach\u00e8vement du Projet<\/strong><\/p>\n\n\n\n<p><strong>5.1 Dur\u00e9e<\/strong><\/p>\n\n\n\n<p>Toute indication donn\u00e9e par Wilbrock LLC concernant la dur\u00e9e d\u2019un projet est indiqu\u00e9e sur\u00a0www.monaco-webdesign.com\u00a0et dans le Contrat de Service. Tout d\u00e9passement doit \u00eatre convenu \u00e0 l\u2019amiable par les deux parties. Wilbrock LLC ne peut \u00eatre tenu responsable de tout d\u00e9passement de projet provenant du c\u00f4t\u00e9 du Client, y compris les retards dans l\u2019envoi des mat\u00e9riaux n\u00e9cessaires \u00e0 l\u2019ach\u00e8vement du travail.<\/p>\n\n\n\n<p>La dur\u00e9e estim\u00e9e du projet commence \u00e0 la date \u00e0 laquelle Wilbrock LLC re\u00e7oit tous les mat\u00e9riaux n\u00e9cessaires du Client. Cependant, la dur\u00e9e estim\u00e9e est sujette \u00e0 ajustement en cas de r\u00e9visions suppl\u00e9mentaires, modifications ou circonstances impr\u00e9vues.<\/p>\n\n\n\n<p><strong>5.2 Ach\u00e8vement<\/strong><\/p>\n\n\n\n<p>Wilbrock LLC consid\u00e8re tout projet comme termin\u00e9 d\u00e8s r\u00e9ception de l\u2019approbation du Client par e-mail, apr\u00e8s la livraison du travail contract\u00e9 par le prestataire et l\u2019acceptation formelle par le client, et une fois que tous les fonds dus ont \u00e9t\u00e9 r\u00e9gl\u00e9s.<\/p>\n\n\n\n<p><strong>6. Work Process &amp; Revisions<\/strong><\/p>\n\n\n\n<p><strong>6.1 Graphic Design, Branding &amp; Web Development<\/strong><\/p>\n\n\n\n<p>Wilbrock LLC provides Customers with preliminary graphic mockups for any graphic &amp; web design projects.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Once a design concept or website mockup is approved, any supplementary structural changes will incur additional fees.<\/li>\n\n\n\n<li>Customers are expected to provide feedback within the specified timeline, in the Service Contract.<\/li>\n\n\n\n<li>Revisions are limited to the number specified in the Service Contract. Additional revisions will be charged separately.<\/li>\n\n\n\n<li>The Customer agrees to allow WILBROCK LLC all necessary access to computer systems, if required, in order to complete a website project and until all due funds are cleared, including the necessary read\/write permissions, usernames and passwords.<\/li>\n\n\n\n<li>The Customer agrees to supply WILBROCK LLC with all necessary materials, using electronic means, required to create and complete the project and to supply them in a timely manner.<\/li>\n\n\n\n<li><strong>Hosting Services<\/strong><br>WILBROCK LLC offers web hosting services through an out-sourced virtual server. The Customer acknowledges that internet services are inherently subject to technical failures and disruptions from time to time. WILBROCK LLC does not guarantee continuous service and will accept no liability for loss of service, whatever the cause.<br>Fees for hosting on WILBROCK LLC virtual server are due at the commencement of any period of service and are non-refundable.<\/li>\n\n\n\n<li><strong>Domain<\/strong><strong>.com Registration<\/strong><strong>\/Transfer<\/strong><\/li>\n\n\n\n<li>The term<strong>\u00a0<em>domain.com<\/em>\u00a0<\/strong>is used in these Terms and Conditions as well as on www.wilbrock.com, as an example for the future names of the website domains.<\/li>\n\n\n\n<li>WILBROCK LLC cannot guarantee the availability of any domain name.<\/li>\n\n\n\n<li>WILBROCK LLC offers two options regarding the website domain:<\/li>\n<\/ul>\n\n\n\n<p><strong>OPTION 1<\/strong>&nbsp;\u2013 WILBROCK LLC shall exercise its expertise and conduct all necessary research to identify the most suitable and representative domain name for the Customer\u2019s business. The registration of the domain.com shall be carried out by WILBROCK LLC on behalf of the Customer.<\/p>\n\n\n\n<p><strong>OPTION 2<\/strong>&nbsp;\u2013 The Customer retains the right to independently register the domain and configure it to point to Wilbrock LLC\u2019s web hosting services by updating the domain\u2019s nameservers as provided by Wilbrock LLC. Any costs associated with domain registration, configuration or transfer shall be solely borne by the Customer.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>6.2&nbsp;<\/strong><strong>Cr\u00e9ation de Contenu<\/strong><\/h6>\n\n\n\n<p>Wilbrock LLC provides professional content creation services, including but not limited to, written articles, blog posts, marketing copy, product descriptions, and social media content. By engaging Wilbrock LLC for content creation, the Customer agrees to the following terms:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Content Ownership &amp; Licensing:<\/strong>\u00a0Upon full payment, the Customer receives a non-exclusive, royalty-free license to use the delivered content. Wilbrock LLC retains the right to display samples of completed work in its portfolio, unless otherwise agreed upon in writing.<\/li>\n\n\n\n<li><strong>Plagiarism &amp; Originality:<\/strong>\u00a0Wilbrock LLC guarantees that all content provided will be original.<\/li>\n\n\n\n<li><strong>Revisions &amp; Modifications:<\/strong>\u00a0Content Creation services include up to the number of revisions specified in the Service Contract. Any additional revisions or substantial alterations requested after project completion will be subject to additional fees.<\/li>\n\n\n\n<li><strong>Delivery &amp; Deadlines:<\/strong>\u00a0Wilbrock LLC will make reasonable efforts to deliver content within the agreed timeframe. Delays caused by incomplete or late input from the Customer shall not be the responsibility of Wilbrock LLC.<\/li>\n\n\n\n<li><strong>Third-Party Rights &amp; Compliance:<\/strong>\u00a0The Customer is responsible for ensuring that all provided materials (e.g., reference documents, images) do not infringe upon third-party intellectual property rights.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>6.3 Photo and Video Editing<\/strong><\/h6>\n\n\n\n<p>Wilbrock LLC provides professional&nbsp;<strong>photo and video editing services<\/strong>, including but not limited to&nbsp;<strong>color correction, cropping, montage, post-production adjustments and visual enhancements<\/strong>. The Customer is responsible for supplying the original materials and Wilbrock LLC ensures a quality post-production work. By purchasing these services, the Customer agrees to the following terms:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Source Material &amp; Ownership:<\/strong>\u00a0The Customer must provide all original media files (images, video footage) in high-resolution and compatible formats. Wilbrock LLC does not claim ownership over the provided materials and only modifies them, per the Customer\u2019s request.<\/li>\n\n\n\n<li><strong>Editing Scope &amp; Limitations:<\/strong>\u00a0Our services include adjustments specified in the Service Contract. Any requests beyond the agreed-upon scope incur additional fees.<\/li>\n\n\n\n<li><strong>Third-Party Rights &amp; Compliance:<\/strong>\u00a0The Customer is responsible for ensuring that all supplied images, videos, music and stock assets comply with copyright regulations. Wilbrock LLC is not liable for intellectual property disputes related to materials provided by the Customer.<\/li>\n\n\n\n<li><strong>Delivery &amp; Revisions:<\/strong>\u00a0Edited content will be delivered within the agreed timeframe. A limited number of revisions is included in Service Contract and additional modifications are subject to additional fees.<\/li>\n\n\n\n<li><strong>Final Approval &amp; Acceptance:<\/strong>\u00a0Once the final edited content is delivered, the Customer has 48 hours to request revisions. If no modifications are requested within this period, the work is considered accepted and finalized.<\/li>\n\n\n\n<li><strong>Licensing &amp; Usage:<\/strong>\u00a0Upon full payment, the Customer receives a non-exclusive, royalty-free license to use the final edited content, for its intended purpose. Wilbrock LLC retains the right to showcase edited work in its portfolio, unless explicitly agreed otherwise.<\/li>\n<\/ul>\n\n\n\n<p><strong>6.4 Digital Marketing<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Online advertising campaigns are held by WILBROCK LLC \u00a0on behalf of its Customers. WILBROCK LLC \u00a0 \u00a0will implement the customer\u2019s Google Adds account or will receive the permission to access an already existing account, for optimization purposes. The necessary amount of time for implementing and\/or optimization is minimum \u00a02 weeks.<\/li>\n\n\n\n<li>WILBROCK LLC \u00a0 \u00a0will endeavor to help Customer to obtain its online advertising goals by providing it with advice, information and technical services, in relation to Search Engine advertising\/marketing.<\/li>\n\n\n\n<li>WILBROCK LLC \u00a0 does not guarantee any particular rate of return or performance of any online advertising platforms such as \u2013 Google Adds, Facebook etc (including but not limited to any particular search results page\/s or rankings). We cannot be held responsible for commercial outcomes which are associated with the Internet marketing or management of your online advertising accounts for your business and\/or websites.<br>WILBROCK LLC \u00a0 will not be liable in any way for fines, penalties, taxes, exemplary\/aggravated\/punitive damages, liquidated damages, indirect\/consequential losses (including loss of contract, loss of production, loss of revenue, loss of profit, lost opportunity costs, and\/or other loss not arising naturally and directly according to the usual course of things) or legal costs and expenses The maximum liability of WILBROCK LLC \u00a0 \u00a0to the Customer is the lesser of \u00a0the sum of Initial Setup Fee and Management Fees that Customer \u00a0have paid WILBROCK LLC \u00a0 on a maximum one month period, before.<br>WILBROCK LLC \u00a0 reserves the right to stop managing Customer\u2019s Online Advertising Accounts and terminate this Agreement at any time, by email notice. If this occurs, Customer\u2019s \u00a0WILBROCK LLC \u00a0 monthly management fee will stop immediately and no further payments will be charged. If the Customer wish to suspend or cancel WILBROCK LLC \u00a0 management of its Online Advertising Accounts, at any time, it can do it, by email notice.\u00a0 In any of these cases WILBROCK LLC \u00a0 will cancel Customer\u2019s Online Advertising Accounts or, alternatively, The Customer may choose to directly access the accounts and cancel them.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\">6.5 Professional Presentations, Infographics and Motion Graphics<\/h6>\n\n\n\n<p>Wilbrock LLC provides&nbsp;<strong>professional presentations, infographics and motion graphics<\/strong>&nbsp;tailored to the Customer\u2019s business needs. These services include the creation of visually compelling materials for marketing, internal communication, educational purposes, and brand presentations. By purchasing these services, the Customer agrees to the following terms:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Scope of Work &amp; Deliverables:<\/strong>\u00a0The scope of each project, including the number of slides, animations, or infographics, will be defined in the custom proposal and \u00a0Service Contract. Any modifications beyond the agreed scope will be subject to additional charges.<\/li>\n\n\n\n<li><strong>Source Material &amp; Content Responsibility:<\/strong>\u00a0The Customer must provide all required content, including text, branding guidelines and any proprietary assets. Wilbrock LLC is not responsible for generating textual content unless explicitly agreed upon.<\/li>\n\n\n\n<li><strong>Any Content creation services involved will be subject to additional charges, as specified in the Service Contract.<\/strong><\/li>\n\n\n\n<li><strong>Design &amp; Customization:<\/strong>\u00a0Wilbrock LLC ensures all designs are tailored to the Customer\u2019s brand identity, incorporating color schemes, typography and visual elements as per the provided guidelines.<\/li>\n\n\n\n<li><strong>Third-Party Assets &amp; Compliance:<\/strong>\u00a0If stock images, licensed fonts, or audio elements are required, the Customer must either provide legally obtained assets or approve the acquisition of such assets, which may incur additional costs. Wilbrock LLC is not liable for the Customer\u2019s use of unlicensed materials.<\/li>\n\n\n\n<li><strong>Revisions &amp; Approval:<\/strong>\u00a0A limited number of revisions, as specified in the Service Contract, will be provided. Additional revisions beyond this limit will be charged separately.<\/li>\n\n\n\n<li><strong>Delivery Timeline:<\/strong>\u00a0Wilbrock LLC will deliver the final presentation, infographic, or motion graphic within the agreed timeframe. The Customer must provide timely feedback to avoid delays.<\/li>\n\n\n\n<li><strong>Final Approval &amp; Acceptance:<\/strong>\u00a0Upon delivery, the Customer has 48 hours to request final adjustments. If no revisions are requested within this period, the work is deemed accepted and finalized.<\/li>\n\n\n\n<li><strong>Licensing &amp; Usage:<\/strong>\u00a0Upon full payment, the Customer receives a non-exclusive, royalty-free license to use the final materials for their intended purpose. Wilbrock LLC retains the right to showcase completed work in its portfolio, unless otherwise agreed in writing.<br><br><strong>6. Processus de Travail &amp; R\u00e9visions<\/strong><br><br><strong>6.1 Design Graphique, Branding &amp; D\u00e9veloppement Web<\/strong><\/li>\n\n\n\n<li>Wilbrock LLC fournit aux Clients des maquettes pr\u00e9liminaires pour tout projet de design graphique et de conception web.<\/li>\n\n\n\n<li>Une fois qu\u2019un concept de design ou une maquette de site web est approuv\u00e9, toute modification structurelle suppl\u00e9mentaire entra\u00eenera des frais suppl\u00e9mentaires.<\/li>\n\n\n\n<li>Les clients sont tenus de fournir des retours dans le d\u00e9lai sp\u00e9cifi\u00e9 dans le Contrat de Service.<\/li>\n\n\n\n<li>Les r\u00e9visions sont limit\u00e9es au nombre sp\u00e9cifi\u00e9 dans le Contrat de Service. Le Client reconna\u00eet que les services Internet sont intrins\u00e8quement sujets \u00e0 des pannes techniques et des interruptions occasionnelles. Wilbrock LLC peut cr\u00e9er un compte Google Ads pour le Client ou recevoir les acc\u00e8s \u00e0 un compte existant \u00e0 des fins d\u2019optimisation. Le d\u00e9lai minimum pour la mise en place ou l\u2019optimisation est de 2 semaines.<\/p>\n\n\n\n<p>Wilbrock LLC s\u2019efforce d\u2019aider le Client \u00e0 atteindre ses objectifs publicitaires en ligne en fournissant conseils, informations et services techniques li\u00e9s au marketing des moteurs de recherche.<\/p>\n\n\n\n<p>Wilbrock LLC ne garantit aucun r\u00e9sultat particulier, ni de performance sp\u00e9cifique sur les plateformes publicitaires en ligne telles que Google Ads, Facebook, etc. (y compris, mais sans s\u2019y limiter, les pages de r\u00e9sultats ou les classements). Ces services incluent la cr\u00e9ation de supports visuels impactants pour le marketing, la communication interne, les usages \u00e9ducatifs et les pr\u00e9sentations de marque.<\/p>\n\n\n\n<p>Port\u00e9e du projet &amp; livrables : Le nombre de diapositives, animations ou infographies est d\u00e9fini dans la proposition personnalis\u00e9e et le Contrat de Service.
